§1 ALLGEMEINES
Diese Bestimmungen regeln verbindlich die Rechtsbestimmungen zwischen den Kunden und Elli Gilgal Models, soweit nicht schriftlich etwas abweichendes vereinbart wurde.
§1 GENERAL REMARKS
The following provisions are intended to govern legal relations between Elli Gilgal Models and the respective clients in a binding manner, unless other agreements shall have been expressly made for specific cases.
§2 BUCHUNGSMODALITÄTEN, WETTERBUCHUNGEN
2.1 Als Auftraggeber gilt derjenige, der bei Elli Gilgal Models bucht, soweit nicht ausdrücklich bei der Buchung etwas anderes vereinbart wurde.
2.2 Optionen sind termingebundene Reservierungen. Eine Option verfällt, wenn der Kunde nicht spätestens drei Werktage bis 18.00 Uhr vor dem Beginn der Tätigkeit oder innerhalb von einem Werktag nach Aufforderung durch die Agentur eine Festbuchung veranlasst. Samstag und Sonntag sind keine Werktage. Es gilt deutsche Zeitrechnung.
2.3 Optionen werden nach dem Buchungseingang notiert. Handelt es sich nicht um die erste Option, wird der Auftraggeber der Rang der Option mitgeteilt. Verfällt eine Option, rücken nachfolgende Optionen in der Rangfolge auf.
2.4 Wetterbedingte Buchungen sind ausschließlich am Aufenthaltsort des Models möglich und müssen ausdrücklich als solche angegebenen werden. Hierbei handelt es sich um Schönwetterbuchungen. Sind die Wetterbedingungen nicht gegeben oder die Wetterlage unklar, ist der Kunde berechtigt, die Buchung gegenüber der Agentur bis spätestens eine Stunde vor dem vereinbarten Arbeitsbeginn abzusagen. Unter diesen Umständen beträgt das Ausfallhonorar 50 % des vereinbarten Modelhonorars.
2.5 Festbuchungen sind für beide Vertragsparteien verbindlich und werden durch die Agentur unter Angabe der wesentlichen Einzelheiten bestätigt.
§2 BOOKING MODALITIES – WEATHER BOOKINGS
2.1 A client shall be defined as someone who books with the agency, unless otherwise agreed in writing at the time of booking.
2.2 Options are reservations subject to a binding date. An option shall terminate, if the client does not make a confirmed booking regarding a timescale of no later than three workdays (by 6:00 pm.) before the start of work or within one workday after having been requested to do so by the agency. Saturdays and Sundays shall not be considered as workdays. German calendar time shall apply.
2.3 Options shall be noted in the order in which they are received. If a client’s option is not the first option for a specific model, the client shall be informed of his option’s priority. If an option lapses, subsequent options shall move up in priority.
2.4 Weather related bookings are only permissible at the model’s place of residence and must be expressly denoted as such. Unless agreed otherwise, these shall be considered as referring to fair weather bookings. If weather conditions are not desirable or if they are unforeseeable, the client may cancel the booking with the agency up to one hour before the agreed start of work. In this case, the cancellation fee shall amount to 50 % of the agreed model’s fee.
2.5 Confirmed bookings shall be considered binding for both parties. At the client’s request, the agency must confirm them in writing without delay, indicating essential details.
§3 PROVISION
3.1 Der Auftraggeber verpflichtet sich, der Agentur eine Vermittlungsprovision von 20% des vereinbarten Modelhonorars oder des zu zahlenden Ausfallhonorars zzgl. der gesetzlichen MwSt. zu zahlen.
3.2 Besondere Honorarsätze gelten in der Regel für folgende Aufnahmen: Aktaufnahmen, Modelle in Miederwaren und Modelle in Bademoden. Ein Sonderhonorar wird bei besonders problematischen Inhalten, (religiöse und weltanschauliche Themen, Konsumgüterwerbung z. Bsp. Pelze, Tabak, Alkohol) berechnet. Aktzuschlag ist jeweils in jedem Fall hinzuzurechnen.
3.3 Auftraggebern ist es untersagt, mit dem Model Folgebuchungen auch für andere oder neue Kunden direkt zu vereinbaren, sofern nicht bereits vor der Vermittlung über die Agentur Direktbuchungen vereinbart wurden. Dies gilt auch für Buchungen, die nicht im Zusammenhang mit der Produktion stehen, sowie für anfragende Fotografen und Filmemacher die dem Model durch die Vermittlung der Agentur bekannt sind.
§3 COMMISSION
3.1 The client shall owe the agency a commission. Unless agreed otherwise, this commission shall amount to 20 % of the model’s fee, or the cancellation fee, plus VAT.
3.2 Special fee rates are usually calculated for the following shots: Nudes, underwear, swimwear. A special fee applies for particularly problematic content, (religious and philosophical topics, consumer advertising such as furs, tobacco, alcohol).
3.3 Clients are prohibited from arranging follow-up bookings directly with the model for other or new customers, unless direct bookings have already been agreed via the agency prior. This also applies to bookings that are not related to the production, as well as inquires through the photographers and film makers who are known to the model through the agency.
§4 ZAHLUNGSKONDITIONEN
4.1 Das Modelhonorar oder Ausfallhonorar, sowie der Reisetagesersatz erfolgen grundsätzlich in Euro und sind nach Erhalt der Rechnung Netto zzgl. der gesetzlich vorgeschrieben MwSt. zu zahlen. Reisespesen werden in der jeweiligen Landeswährung oder in EURO zum Ankaufskurs bezahlt.
4.2 Der Auftraggeber ist nicht berechtigt, Forderungen gegen die vermittelten Personen mit dem Provisionsanspruch von Elli Gilgal aufzurechnen oder ein Zugrückhaltungsrecht geltend zu machen. Der Auftraggeber schuldet die Vermittlungsprovision auch für Folgebuchungen, solange das Model sich von der Agentur vertreten lässt. Direktbuchungen unter Umgehung der Agentur sind unzulässig und lösen eine Vertragssafe aus.
§4 PAYMENT TERMS
4.1 The model’s fee, including the cancellation fee, recompense for days of travel and travel expenses, shall be due upon the receipt of the invoice without any discounts. Travel expenses must be paid in the local currency or in EURO at the buying rate; other payments must be made in EURO.
4.2 The client is not entitled to offset claims against the referred model with the commission claim of Elli Gilgal Models or withhold payment. The client owes the agency a commission for subsequent bookings. The client shall refrain from direct bookings which circumvent the agency.
§5 ANNULLIERUNG
5.1 Eine Festbuchung kann aus wichtigem Grund annulliert werden. Die Annullierung ist der Agentur unverzüglich mitzuteilen.
5.2 Bei einer Absage am Shooting/Drehtag fallen 100% der vereinbarten Vergütung an.
5.3 Bei einer kurzfristigen Absage, daher 3 Werktage vor Tätigkeitsbeginn, fällt ein Ausfallhonorar in Höhe von 50% der reinen Arbeitsgage an. Erfolgt die Annullierung vor 12 Uhr mittags, so ist dieser Tag bei der Berechnung mitzuzählen. Samstag und Sonntag sind keine Werktage. Es gilt deutsche Zeitrechnung.
5.4 Erfolgt die Annullierung durch das Fotomodell, wird die Agentur gegebenenfalls unter Einbeziehung von Partneragenturen versuchen adäquaten Ersatz zu finden.
§5 CANCELLATION
5.1 A confirmed booking can be cancelled for important reasons. The Agency shall be notified of the cancellation without delay.
5.2 Cancellations on the shooting day must be refunded 100 %.
5.3 In case of short notice cancellations, for example 3 working days before starting work, the cancellation fee shall amount to 50 % of the agreed model’s fee. If the cancellation occurs before 12 pm, this day shall be included in the calculation. Saturday and Sunday shall not be considered workdays. German calendar time shall apply.
5.4 If the cancellation occurs through the model, the agency will make every effort, even by calling in another agency if necessary, to find an adequate substitute for the client.
§6 ARBEITSZEITEN
6.1 Die Arbeitszeit beginnt mit dem Eintreffen des Models am vereinbarten Arbeitsort beim Kunden zur vereinbarten Zeit. Bei einer Tagesbuchung beträgt die Arbeitszeit 8 Stunden, bei einer Halbtagesbuchung 4 Stunden. Vorbereitungszeit wie Maske-Up und Frisur zählen zur Arbeitszeit. Überstunden werden mit 15% des vereinbarten Tageshonorar pro Stunde vergütet. Eine Überschreitung der Arbeitszeit von 30 Minuten wird aus Kulanz nicht berechnet.
6.2 Die gemeinsame An- und Abreise von Auftraggeber und den vermittelten Person zwischen Unterkunft und Arbeitsort zählt zur Arbeitszeit.
6.3 An-und Abreise bis zu insgesamt einer Stunde pro Tag werden aus Kulanz nicht berechnet.
6.4 Die An- und Abreise des Models zum und vom Arbeitsort wird vom Auftraggeber vergütet, wenn sie ganz oder teilweise während der üblichen Arbeitszeit der Models/Künstler erfolgt.
6.5 Halbtagesbuchungen von anreisenden Models und Stundenbuchungen bedürfen immer einer gesonderten Vereinbarung, ebenso die Fototerminzeiten von Kindern, die einer behördlichen Erlaubnis bedürfen.
§6 WORKING HOURS
6.1 The working hours shall begin when the model meets the client at the agreed location at the
agreed time. Preparations such as make-up and hair styling count as working hours. The working hours for a booking day amount to eight hours; for a half booking day, it is four hours. Unless agreed otherwise, overtime shall be remunerated at 15 % of the agreed daily fee per hour. An extension of the hours of work by 30 minutes or less will not be calculated as a gesture of goodwill.
6.2 The joint arrival and departure of the client and the model between accommodation and workplace counts as working time.
6.3 The arrival and departure of the model travelling to and from the location will be paid for by the client, if it is made entirely or partially during the normal working hours of the model.
6.4 Half-day bookings and bookings by the hour of non-residing models shall always require a separate agreement, as well as bookings including children which require an official permission.
§7 REISEKOSTEN UND REISESPESEN
7.1 Übernachtungs- und Verpflegungskosten werden nicht für am Arbeitsort ansässigen oder nicht angereisten Models vergütet. Kosten für Taxifahrten werden ausgenommen bei Halbtags- und Stundenbuchungen, nur ab Stadtgrenze erstattet.
7.2 Der Kunde trägt bei gemeinsamen Reisen, ab Flughafen/Bahnhof des abreisenden Models die ganzen entstandenen Reise-, Verpflegungs- und Übernachtungskosten. Die Erstattung erfolgt entweder pauschal nach den steuerlichen Richtsätzen pro Arbeitstag oder gegen Vorlage der Belege.
7.3 Ist das Model für mehrere Kunden am Arbeitsort tätig, so sind die entstandenen Kosten den jeweiligen Arbeitstagen entsprechend aufzuteilen.
§7 TRAVEL COSTS AND EXPENSES
7.1 Models residing at the location or not travelling to the location shall not receive a refund for costs of overnight stays or accommodations. Except for half-day bookings or bookings by the hour, costs of transportation by taxi will only be reimbursed from the city limits.
7.2 For all trips taken together with the model, the client shall bear the costs of travel, overnight stays and accommodation from the airport or train station from which the model departs. The remuneration shall be made as a lump sum conforming to the standard fiscal rate per workday or upon submission of the receipts. If the model works for several clients at one location, the costs for each workday must be divided up accordingly.
§8 REKLAMATIONEN
8.1 Bei Reklamationen hat der Kunde umgehend die Agentur in Kenntnis zu setzen und die Reklamationsgründe vorzubringen. Für den Nachweis der Reklamation sind Polaroidfotos darzulegen. Das Model ist ausdrücklich nicht für Hairstyling, Styling und Make-up verantwortlich. Bei Reklamationen die vom Kunden nachgewiesen werden, wird das Model sofort von seiner Arbeitspflicht entbunden und es entfällt jegliche Zahlungspflicht des Kunden für das Model einschließlich Reisekosten. Folgen weiter Aufnahmen oder eine Verwendung der Bilder, gilt dies als Verzicht des Kunden auf jegliche Reklamation.
8.2 Bei schuldhafter Verspätung des Fotomodells (Verschlafen, verpasstes Flugzeug etc.) hat das Fotomodell entsprechend länger zu arbeiten. Ist dies aufgrund besonderer Umstände nicht oder nur teilweise möglich, so verliert das Fotomodell seinen anteiligen Tageshonoraranspruch auf der Grundlage des Überstundenhonorars.
8.3 Bei besonders risikoreichen Aufnahmen hat der Kunde eine entsprechende Versicherung für das Fotomodell abzuschließen. Ist der Agentur das Risiko bei der Buchung nicht ausdrücklich mitgeteilt worden, ist das Fotomodell berechtigt, seine Leistung zu verweigern und erhält ein Ausfallhonorar in Höhe von 70 % des vereinbarten Gesamthonorars.
8.4 Weitergehende Ansprüche richten sich nach den allgemeinen gesetzlichen Bestimmungen. Die Haftung des Fotomodells sowie seiner Agentur aus jedwedem Rechtsgrund ist auf das zweifache Gesamthonorar beschränkt, ausgenommen bei Vorsatz und grober Fahrlässigkeit.
§8 COMPLAINTS
8.1 In the event of complaints, the client must inform the agency immediately and state the grounds for the complaint. Polaroid photographs must be taken to provide evidence for the complaint. Proven client complaints shall revoke any obligation to pay for this model, including travel expenses. The model must then be expressly released from the obligation to work. The model shall not be considered responsible for hair styling, styling and make-up. If photographs are nevertheless taken using the model, the client shall be considered as having waived all rights regarding the complaint.
8.2 If the model is responsible for arriving late (due to oversleeping, missing a flight, etc.), the model shall accordingly be obliged to work longer. If, owing to specific circumstances, this proves to be partially or entirely impossible, then the model shall lose the proportionate claim to a daily fee on the basis of the overtime rate.
8.3 In particularly hazardous shots the client’s insurance must cover for the model. If the agency has not been informed expressly beforehand, the model is entitled to refuse performance and shall receive a cancellation fee amounting to 70% of the total fee.
8.4 Further claims shall be subject to general statutory regulations. The model’s liability as well as that of the agency, on each and any legal grounds, shall be restricted to twice the amount of the total fee, except in cases of gross negligence and wrongful intent.
§9 NUTZUNGSRECHTE
Soweit nicht ausdrücklich anders vereinbart, werden mit dem vereinbarten Fotomodellhonorar die Nutzungsrechte an den Aufnahmen ausschließlich dem genannten Kunden ein Jahr innerhalb Deutschlands für den vereinbarten Verwendungszweck, das vereinbarte Produkt und die vereinbarte Nutzungsform eingeräumt. Die Jahresfrist beginnt mit der tatsächlichen Nutzung, spätestens 3 Monate nach Erstellung der Aufnahmen.
Jede weitergehende Nutzung, insbesondere für Poster, Plakate, Verpackungen, Displays, Videos, sowie jede Nutzung des Fotomodellnamens bedarf einer ausdrücklichen schriftlichen Einwilligung durch die Agentur.
Eine digitale Speicherung der Aufnahmen ist grundsätzlich nicht gestattet und nur mit ausdrücklicher schriftlicher Einwilligung unter konkreter Angabe des Verwendungszwecks möglich.
Nutzungsrechte werden erst durch Zahlung des vereinbarten Entgelts eingeräumt. Jegliche Nutzung vor vollständiger Zahlung des vereinbarten Entgelts ist unzulässig.
§9 LICENSES
Unless otherwise agreed, paying the agreed model’s fee shall give the client exclusive rights of use to the photographs for one year within the territory of the Federal Republic of Germany for the agreed use, the agreed product and the agreed form of use. The limit of one year shall begin at the time of first actual use, but no later than two months after taking the photographs.
Any utilizations beyond those listed above, in particular for posters, billboards, packaging, displays, videos, as well as any use of the model’s name, shall require the expressed written consent of the agency.
Digital storage of the photographs shall be prohibited as a matter of principal and may only be undertaken with expressed written consent stating the exact purpose.
Rights of use shall not be granted until the agreed buyout has been paid. Any utilization before the agreed amount has been paid fully shall be prohibited.
§10 HAFTUNG
Jegliche Haftung der Agentur aus dem vermittelten Rechtsverhältnis ist ausgeschlossen.
Elli Gilgal Models versichert, alle Angaben wahrheitsgemäß weitergegeben zu haben. Von Ansprüchen Dritter, die aus seiner Veröffentlichung oder Weitergabe der entstehenden Werke entstehen können, stellt der Auftraggeber die Agentur hiermit frei.
Der Auftraggeber stellt Elli Gilgal ferner von allen Ansprüchen frei, die von Dritten wegen der Verletzungen von Bildrechten gegenüber der Agentur geltend gemacht werden. Das umfasst auch die Erstattung von Kosten notwendiger rechtlicher Vertretung.
Weitergehende Ansprüche richten sich nach den allgemeinen gesetzlichen Bestimmungen.
Die Haftung des Models sowie seiner Agentur aus jedwedem Rechtsgrund ist auf das doppelte vereinbarte Modelhonorar beschränkt. Dies gilt nicht für Vorsatz und grobe Fahrlässigkeit.
§10 LIABILITY
Any liability of the agency from the mediated relationship is excluded.
Elli Gilgal Models assures to have passed all information truthfully. The client releases Elli Gilgal Models hereby freely from all third-party claims that may arise from the publication or dissemination of the resulting works.
Furthermore, the client releases Elli Gilgal Models from all claims that are asserted by third parties due to the injuries of image rights. This also includes the reimbursement of costs for any necessary legal representation.
Further claims are governed by the general regulations.
The liability of the Models and his/her agency due to any legal reason is limited to twice the agreed model payment. This does not apply in cases of intent and gross negligence.
§11 SCHLUSSBESTIMMUNG
Sollte eine der Bestimmungen dieses Vertrags ganz oder teilweise gegen zwingende gesetzliche Vorschriften verstoßen, so tritt die entsprechende gesetzliche Regelung an ihre Stelle.Die Gültigkeit der übrigen Bestimmungen wird dadurch nicht berührt. Der Vertrag ist dann vielmehr seinem Sinn gemäß durchzuführen.
Werden Leistungen und Zeitbestimmungen berührt, so haben die gesetzlichen Bestimmungen Geltung. Alle Änderungen, Aufhebungen oder Ergänzungen bedürfen der Schriftform. Mündliche Vereinbarungen sind nichtig, ebenso die mündliche Vereinbarung über die Aufhebung der Schriftform.
§11 FINAL PROVISIONS
If any provision of this agreement violates wholly or partly any mandatory statutory provisions, this shall not affect the validity of the remaining provisions. The same applies to filling loopholes in the contract. The validity of the remaining statements will not be affected. In this case, the contract will be met according to its meaning.
In the case of ineffective provision, the provision which best approximates the original intent and purpose shall be considered agreed. Any changes, deletions or additions must be put in writing. Verbal agreements are void, as are any oral agreements regarding the cancellation of the written form.
